Terms and Conditions

1. Definitions

SYNCHRONIA : The company SYNCHRONIA SARL, with a capital of 40 000€, registered at the "Chambre de commerce" of Auch (France), under the number 433 956 265.

Address : CHE. DE LA RETHOURIE, 32000, AUCH, FRANCE.

BUYER : Any person, company or legal entity, residing outside of France, who places an order that is accepted by SYNCHRONIA.

WEBSITE : The website of SYNCHRONIA at the URL : "www.soundskulptor.com" or "www.soundskulptor.eu"

2. General

All orders for products and services on the WEBSITE are accepted by SYNCHRONIA subject to these terms and conditions of sale. No other terms will apply to the supply of products unless agreed in writing by an authorised signatory of SYNCHRONIA.

SYNCHRONIA reserves the right to modify these conditions at any time. In such case the applicable conditions will be the ones that are valid at the date of order by the BUYER.

SYNCHRONIA reserves the right to decline to trade with any company or person.

3. Products

The available products are those described on the WEBSITE.

The products are available as long as stock lasts.

All descriptions of the products and services contained on the WEBSITE are approximate only and shall not form any part of the contract between SYNCHRONIA and the BUYER. SYNCHRONIA may correct any errors in its website without liability to the BUYER.

SYNCHRONIA reserves the right, without prior notice, to discontinue any product or to make design changes as part of its continuous programme of product improvement.

4. Price

The prices are given exclusive and inclusive of VAT, in Euro.

The price of products and services are as set out in the WEBSITE at the date of order.

SYNCHRONIA reserves the right to modify the prices at any time, without notice.

The prices do not include the shipping costs. They are added during checkout.

If the BUYER is a registered EU company, with a valid VAT number, he can request a VAT free invoice. This can be done in the "Additional information" field in the personal information page during ordering.

5. Orders

The BUYER willing to purchase a product must :

- Select the products he wants to purchase and click on the "Add to cart" button, then when all the products have been selected, click on the "Checkout" button.

- Fill the personal information page, click on "Checkout".

Select the shipping option, click on "Checkout".

- Check totals. If everything is correct, click on the "Checkout" button. The BUYER will immediately receive an automatic order confirmation email. After having processed the order and checked the products availability, SYNCHRONIA will send a second email with the payment details.

- Make the payment accordingly to the instructions given in this email. Failing to make the payment within 8 days from the email send date will automatically cancel the order.

6. Right of refund

The BUYER, natural person only, has the right to return goods, at his own cost and risk within 7 days after delivery, for exchange or refund. The goods must be returned in their original state and packing. Any shipping costs and bank transaction fees will be deducted from the refund amount.

No return will be accepted without a previous agreement from SYNCHRONIA, by mail, fax or email.

7. Payment

The price is to be paid at ordering.

The payment can be done by credit card or bank wire transfer.

The credit card payments are done through Paypal that uses the SSL (Secure Socket Layer) protocol to encrypt the transmitted data.

The BUYER account will be pulled immediately after payment. The products will be shipped as soon as the account of SYNCHRONIA has been credited with the corresponding amount. It is necessary to allow for about 3 to 10 working days, depending on the payment mode and country.

A paper invoice with VAT details will be included in the package.

8. Delivery

The carrier delivers to the address indicated by the BUYER at the time of ordering.

An insurance covering the price of goods is always included.

A signature is required for delivery.

The BUYER must inspect the content of the package in presence of the deliveryman. An accepted parcel is presumed to be in good state. In case of damaged products, the BUYER must refuse the delivery. If the package shows signs of transportation damages but the delivery is accepted, the BUYER must notify written reserves to the deliveryman. If product damages are detected later, a claim by registered letter must be sent to the carrier company within 3 days from delivery. The BUYER must also inform SYNCHRONIA within the same delay.

Any delivery of products not in accordance with the order can be returned to SYNCHRONIA. In this case SYNCHRONIA will replace the products or refund the purchase price. No return will be accepted without an previous agreement of SYNCHRONIA by mean of mail, fax or email.

Delays for delivery quoted on the WEBSITE or in emails from SYNCHRONIA are approximate only and SYNCHRONIA shall not be liable for the consequences of any delay in delivery.

In all cases, all deliveries will be made within a maximum of thirty (30) days. If it is not possible to guarantee this, the BUYER will be informed at the earliest possible time and has the option to cancel the order. An exchange or refund may be possible.

9. Risk and Ownership

Risk of loss of or damage to the products shall pass to the BUYER on delivery. Goods remain the property of SYNCHRONIA until full payment has been received.

10. Repairs

In case the BUYER of a kit would be unable to make it work, we propose a repair service. The diagnostic is free. The price of this service is based on a hourly fee to which must be added the price of replaced components if any. The shipping costs to and from SYNCHRONIA are to be paid by the BUYER.

The repair service is subject to the availability of parts and is only available if the product has not suffered excessive physical or electrical damage and is free from modifications .

11. Warranty

For all the products delivered by SYNCHRONIA, SYNCHRONIA warrants that if any product is defective, it will replace or repair the product or refund the purchase price. This warranty is only applicable to the products that are built and tested by SYNCHRONIA, as well as to electronic components, at the condition that they have been used as described in the assembly and testing guides on the WEBSITE. These warranties shall not apply to any defect which arises from improper use or failure to follow the product instructions. In no case this warranty can apply to a kit product that has been built by the BUYER. This warranty is subject to a claim being made in writing to SYNCHRONIA within 12 months of the original date of delivery.

12. intellectual property

SYNCHRONIA owns the intellectual property rights in the website content, and whole or partial reproduction without SYNCHRONIA's prior written consent is prohibited.

13. Data Protection

In accordance with the Information Systems and Liberty Law of 6th January 1978, France, the BUYER data can be stored.

This data allow SYNCHRONIA to track orders. If the BUYER has accepted it in the personal data page, this data can be used exclusively by SYNCHRONIA to send product information and promotional offers. It is possible for the BUYER to unsubscribe at any time by clicking on the included link. Only SYNCHRONIA is the recipient of this data and it will never be communicated to third parties.

14. Law and Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with French Law and the BUYER submits to the court of competent jurisdiction in AUCH.
